For most newly formed OÜs, share capital is now usually confirmed during company formation. Before starting this procedure, check your registry card first. If the company already shows the capital as paid, you normally do not need to submit this separate share capital contribution application.
Quick answer: the share capital contribution procedure is mainly for an older OÜ or a register record where the capital is still shown as unpaid. If your company was recently formed and the Business Register already shows the share capital as paid, this separate filing is usually not needed. If the capital is still unpaid, pay the contribution into the company account first, then submit the register application with supporting proof where required.
If your OÜ was registered under the older deferred-payment setup, or the Business Register still shows that share capital has not been paid in, the contribution may need to be recorded after the funds have been deposited.

Practical check: open your company registry card first. If the share capital is already shown as paid, avoid making a duplicate or unnecessary register change.
You need access to the Estonian e-Business Register with ID-card, Smart-ID or Mobile-ID and management rights for the OÜ.
You need a bank statement or payment confirmation showing the share capital payment to the company account.

Log in to the e-Business Register and open your company from the “Dashboard”. On the main information view, click the “Change data” button.
On the change data page, locate the section related to share capital and contributions. Choose the option to record that the share capital has been paid in and start the application.
Fill in the required fields using the payment proof. The application may ask for the amount, payment date, and account details connected with the contribution.
Attach a PDF or image of the bank statement or payment confirmation that clearly shows the company as beneficiary, the paid amount and the payment date.
Carefully review the updated share capital information and other company data shown in the application summary. Make sure the amount and dates are correct before proceeding.
All required signatories, usually management board members, must sign the application with ID-card, Smart-ID or Mobile-ID. After all signatures have been added, submit the application to the registrar.
Once the registrar has reviewed the submission, the company data will be updated and the share capital contribution will be shown as paid. You can download an updated registry card as proof for your bank or counterparties.
Make sure the contribution amount in the application matches the payment received by the company.
If the registrar asks for additional proof, upload a clearer bank statement or payment confirmation.
Submit the share capital contribution before corporate actions that require paid-in capital, such as dividend decisions or share-structure changes.
