Document custody after company liquidation

Company deletion does not end the duty to preserve its records. A document custodian — dokumentide hoidja in Estonian — receives the deposited archive and is responsible for its preservation under the applicable rules. See the legal basis.

What we agree before handover

The custody agreement identifies the records accepted, their retention schedule and how access requests will be handled. Any separately chargeable retrieval or copying work is specified in advance and must respect statutory access rights. We confirm storage and backups, archive limits, retrieval charges and continuity arrangements in writing before payment or transfer of records.

Your liquidator continues to handle the company’s closure. Liquidation work, accounting corrections, scanning and physical storage are outside the standard digital-archive price.

Have employees, paper files or an unusual archive?

Tell us before transferring anything. Some records need a different retention period or handling arrangement. We confirm the scope and price before accepting the appointment.

You can keep your existing liquidator. We coordinate the archive handover and custodian details for the final stage.

  1. Describe the archive

    Send the company name and registry code, expected deletion date, approximate archive size and whether it includes employee or paper records.

  2. Agree the scope

    We review the requirements, confirm the fee and agree the custody terms, retention schedule and transfer method.

  3. Complete the handover

    Transfer the agreed records. Once acceptance is confirmed, your liquidator uses Dalanta’s details in the final registry process.

  4. Preserve the records

    Dalanta holds the accepted archive and handles access requests according to the custody agreement and applicable law.

What can your company archive include?

We agree a handover list for your company. Typical records fall into three groups.

Common questions

Is €299 an annual fee?

No. €299 + VAT is a one-time fee for a qualifying standard digital archive, subject to review. There is no annual storage subscription for the agreed retention period. Any services outside that scope are agreed separately.

Must every document be kept for exactly ten years?

No. Ten years is the general rule under §46, with exceptions where another law provides a different period. The archive review and custody agreement identify the applicable retention requirements.

Is this the same as a contact-person service?

No. A contact person receives official communications for a company. A document custodian preserves deposited company records after dissolution. You do not need to buy an address or contact-person package to request this service.

Can I use my existing liquidator?

Yes. This service covers document custody. Your existing liquidator remains responsible for completing the liquidation and submitting the necessary registry information.

What if my company has already been deleted?

Send us the registry code and current custodian information first. Under §219, replacing the registered document custodian and entering a new one requires a court ruling. A new service enquiry does not replace the existing custodian.

Who can access the archived documents?

Section 219 gives inspection rights to shareholders and their legal successors, the company’s creditors, and others with a legitimate interest. Requests must be assessed under the statutory rules before access is provided.

Can I include paper documents?

Describe the paper archive in your initial enquiry. Physical records are outside the €299 standard digital-archive scope and need a separate review and quotation before any handover.
